Believe it or not, some people cannot commit to a regular time/day for a few hours. Saying you need to be in a guild to do everything is crap. Also, Blizz only allows you to be in ONE guild. I am in a social guild with my real life friends that got me into this game. i have been approached many times to join "real" guilds, but I am not leaving the people who got me into this game.
This has been brought up many times, and wouldn't be too hard to incorporate. Each boss has a boss ID, and it is either set to alive or dead. This is what phasing is all about. When I kill Marrow and Deathwhisper, they are dead in my world. If I join another group that needs to do them, I won't even see those bosses (much like you see people from the opposite faction fighting nothing in WG when they own it). I can't buff anyone, take loot, etc. In fact, they can make it so I can't even join the group unless there is a least common denominator (like I can only join after they have downed those two).
I have a job, children, a wife, and actual living breathing friends, not just avatars. I can't say "o.k., Thursday nights from 8 pm to 1 am belong to my raid guild" And even if i did, and the uild didn't finish the run, I'd like to be able to finish it with someone, instead of seeing all these messages in trade looking for my spec to go on from where I left off and knowing I can't.

Another option, is to break it down into sections. ICC is HUGE. Even a decent group is going to take a long time to do it. Break it up and have the save be for each section. Even if it is just split in two, it will make it so you can actually finish the whole thing in two sittings with two groups.

and are there any downsides/exploits etc that would stop this?
Almost all, if not all, new features have downsides and exploits. What matters is that the positive things outweigh the bad things.
